1. Acceptance of Terms
By accessing or using Metrum Health ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. We may update these terms from time to time, and your continued use constitutes acceptance of any changes.
2. Description of Service
Metrum Health is a healthcare rate intelligence platform that provides access to commercial payer negotiated rate data derived from publicly available Machine-Readable Files (MRFs). The Service includes rate search, comparison tools, alerts, and related features for healthcare providers.
3. Account Registration
To use the Service, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Be at least 18 years old
- Be a licensed healthcare professional (verified via NPI or institutional email)
- Have the authority to bind your organization if registering on behalf of a practice
You are responsible for all activities that occur under your account. We reserve the right to require verification of your professional credentials and to suspend accounts that cannot be verified.
4. Subscription and Payment
4.1 Pricing
The Service is offered on a subscription basis. Current pricing is displayed on our website. We reserve the right to change pricing with 30 days notice.
4.2 Billing
Subscriptions are billed in advance on a monthly or annual basis. All payments are processed securely through Stripe.
4.3 Cancellation
You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period. We do not provide refunds for partial billing periods.
5. Data and Accuracy
5.1 Data Sources
Rate data is derived from Machine-Readable Files (MRFs) published by commercial health insurers pursuant to the Transparency in Coverage Rule. We process and present this data as-is from the source files.
5.2 No Warranty
While we strive for accuracy, we do not warrant that the data is complete, accurate, or current. Data should be used for informational purposes and as one input in your business decisions, not as the sole basis for contract negotiations.
5.3 Not Professional Advice
The Service does not provide legal, financial, or medical billing advice. You should consult qualified professionals for specific guidance on contract negotiations and billing practices.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorized access to the Service
- Interfere with or disrupt the Service
- Scrape, harvest, or extract data in bulk
- Resell or redistribute the data without authorization
- Impersonate another person or entity
- Upload malicious code or content
7. Antitrust Compliance (Important)
The rate data provided through this Service is for informational and educational purposes only. You expressly agree that you will NOT use this Service to:
- Coordinate, discuss, or agree on pricing or contract terms with other healthcare providers
- Share rate information with competitors for the purpose of establishing "market rates" or coordinating negotiations
- Engage in any form of collective bargaining or price-fixing with other providers
- Use rate data to establish or recommend specific rates that providers should charge
Each healthcare provider must make independent decisions regarding their payer contracts based on their own business analysis. Using rate data to coordinate pricing with other providers may constitute a violation of federal and state antitrust laws.
Violation of this section may result in immediate termination of your account and may be reported to appropriate authorities.
8. User-Generated Content
The Service may allow you to submit practice data, reviews, or other content ("User Content"). By submitting User Content, you:
- Represent that the content is accurate to the best of your knowledge and does not violate any third-party rights
- Grant us a non-exclusive, royalty-free license to use, display, and aggregate User Content for the operation of the Service
- Understand that practice data may be anonymized and aggregated for display to other users
- Agree not to submit content that is defamatory, false, misleading, or harmful to others
We do not verify User Content and are not responsible for its accuracy. User Content represents individual experiences and should not be relied upon as a guarantee of any particular outcome. If you believe User Content about your organization is inaccurate or violates these Terms, contact us at legal@metrumhealth.com for review.
9. Intellectual Property
The Service, including its software, design, and content (excluding user-provided data and publicly-sourced MRF data), is owned by Metrum Health and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, METRUM HEALTH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months prior to the claim.
11. Indemnification
You agree to indemnify and hold harmless Metrum Health and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from your use of the Service or violation of these Terms.
12. Termination
We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions.
14. Dispute Resolution
Informal Resolution: Before initiating any formal dispute resolution process, you agree to first contact us at legal@metrumhealth.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days of receiving notice.
Binding Arbitration: If we cannot resolve a dispute informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Columbia, Missouri.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Exceptions: Either party may bring an individual action in small claims court or seek injunctive relief for intellectual property infringement.
